On May 1, 2011, the Companies and Intellectual Property Commission (CIPC) replaced the Companies and Intellectual Property Registration Office (CIPRO) and the Office of Companies and Intellectual Property Enforcement (OCIPE) to carry forward the changes made in the Companies Act 71, 2008 which is now known as the Companies Regulations, 2011. Apart from various changes made, according to the Companies Regulations, 2011, new close corporations (CCs) cannot be registered any more though close corporations registered before May 1, 2011 can still continue as CCs and enjoy the benefits. Hence, new businesses have one less option for company registration than earlier under the new Act.
A PTY (private) company registration requires compliance with the different sections of the Companies Regulations, 2011, and filing of certain forms with the CIPC. The process for the PTY registration starts with the reservation and registration of company’s name as per the sections 8 to 13 of the Companies Regulations, 2011 (corresponding to sections 11, 12, and 160 of the older Act). Registration of an external company is governed by the section 20 of the Companies Regulations, 2011 (Form CoR 20.1) and domestication of a foreign company by the section 17 (Form CoR 17.1). Once a name is reserved and registered in accordance with the aforementioned sections, a Notice of Incorporation (Form CoR 14.1) and Memorandum of Incorporation (Form CoR 15.1A or 15.1B) are filed with the CIPC. With these two forms there are other documents also needed to be filed related to directors and power of attorney (if needed) as mentioned below. Once all the filed documents are in order as per the Companies Regulations, 2011, a company registration number is issued by the CIPC.
